Company (SRL) registration in Romania
The limited liability company (societate cu răspundere limitată – SRL) is the most common company form in Romania. It is governed by Companies Law no. 31/1990 and is registered with the Trade Register (Law no. 265/2022). The main rules:
- Associates: from 1 to 50 (art. 12). A single-member SRL is set up by the will of one person; in that case only the articles of association are drawn up (art. 5(2)). Since 5 July 2020 one person may be the sole associate of more than one SRL – the former restriction (art. 14) was repealed by Law no. 102/2020.
- Minimum share capital: 500 lei for a newly incorporated SRL and 5,000 lei for an SRL whose net turnover in the previous financial year exceeded 400,000 lei (Law no. 239/2025, art. VI(1)–(2)). The capital is divided into equal shares (art. 11).
- Paying in the capital: at least 30% of the subscribed capital no later than 3 months after registration, and before the company starts operating; the rest within 12 months for cash contributions and within 2 years for contributions in kind (art. 91(2)).
- Constitutive act: signed by all associates as a private document; the authentic (notarial) form is mandatory if the contributions include real estate (art. 5(6)).
- Beneficial owner: at registration, and whenever it changes, the company files a declaration on its beneficial owners with the Trade Register (Law no. 129/2019, art. 56(1)).
Activity codes are chosen from CAEN Rev. 3.
