FREQUENTLY ASKED QUESTIONS

What is the minimum share capital for a new SRL?
RON 500 for newly established SRLs (art. VI para. (2) of Law no. 239/2025). If the net turnover in the previous year’s financial statements exceeds RON 400,000, the minimum becomes RON 5,000 (art. VI para. (1)), and the increase must be made by the end of the following financial year (art. VI para. (3)).

I already have an SRL. Do I need to increase its capital?
If net turnover has exceeded RON 400,000 and the capital is below RON 5,000, yes, by amending the articles of association, within 2 years of Law no. 239/2025 entering into force (art. VI para. (6)). For increases made by 31 December 2026 solely for this purpose, the publication fee in the Official Gazette, Part IV, is reduced by 50% (art. VI para. (7)).

Can you host the registered office of the new company?
Yes, temporarily, for the companies we set up.
